Brokerage Agreement for Charter Transportation Service
This brokerage agreement for charter transportation service ("Agreement") is entered into as of the date of signing the agreement, by and between CHARTER BUSLINE CORP ("CHARTER BUSLINE CORP"), a New York corporation with its principal place of business at 31 Covert Ave, Floral Park, NY 11001 United States and the Client (Client Name and address are as per the attached invoice). This Agreement governs the procurement of charter transportation service by Client to be provided by an independent third-party motor carrier ("Bus Company"), such charter transportation service being arranged by CHARTER BUSLINE CORP on behalf of Client. The parties to the Agreement hereby agree as follows.
I. General Roles and Relationships
CHARTER BUSLINE CORP is a broker for motor carriers of passengers. CHARTER BUSLINE CORP is not a motor carrier, nor does CHARTER BUSLINE CORP control any motor carrier. CHARTER BUSLINE CORP does not agree to perform any activities that would construe it to be a motor carrier, notwithstanding any terms specified or implied herein to the contrary.
Client is a chartered party, or a person authorized by and acting on behalf of a chartered party, that desires to receive transportation by motor carrier of the members of the chartered party. Client desires CHARTER BUSLINE CORP to arrange for such transportation with a Bus Company. CHARTER BUSLINE CORP shall act as agent for Client in arranging transportation of the chartered party by motor carrier, and to bind Client to a charter transportation contract with a Bus Company. CHARTER BUSLINE CORP shall not be a party to, or have any obligations under, such charter transportation contract between Client and the Bus Company.
II. Reservations and Deposit
Reservations for charter transportation service may be made electronically through the internet website of CHARTER BUSLINE CORP or any of its corporate affiliates or by telephone. CHARTER BUSLINE CORP is not responsible for any confirmation of Client reservation that is lost or otherwise not received when booking via the internet. If a spam blocker is on, a confirmation may not get through. It is the Client's responsibility to call and get a confirmation e-mail when making a booking. Until the reservation is confirmed by CHARTER BUSLINE CORP in writing (including by e-mail) the reservation is subject to change by CHARTER BUSLINE CORP or by Client.
A. Reservation Details
A reservation confirmation shall include the amount payable by Client to CHARTER BUSLINE CORP ("Reservation Rate") for its arrangement of specialized charter transportation service, inclusive of the amount payable to the Bus Company for its provision of charter transportation service and a fee for the services of CHARTER BUSLINE CORP.
Client understands and agrees that the rates shown on CHARTER BUSLINE CORP's website, the website of any corporate affiliate of CHARTER BUSLINE CORP, or otherwise provided by CHARTER BUSLINE CORP for a particular Bus Company may be different than rates that may be offered when contacting Bus Company directly as such rates may include revenue to CHARTER BUSLINE CORP and/or discounts offered for trips arranged through the CHARTER BUSLINE CORP portal.
Client further understands and agrees that Bus Company options presented to Client by CHARTER BUSLINE CORP may not include all potential options available on the CHARTER BUSLINE CORP platform.
B. Payment Requirements
- All reservations made 14 or more days prior to the Date of Service require a minimum 25% deposit of the Reservation Rate
- Full payment required no later than 14 days prior to the Date of Service
- Payment must be made payable to CHARTER BUSLINE CORP, not to Bus Company
- Client authorizes CHARTER BUSLINE CORP to charge their payment method for deposits and amounts owed
Clients may change a reservation subject to (a) availability of the requested charter transportation service as proposed by the changed reservation, (b) payment of the applicable charge as determined by CHARTER BUSLINE CORP in its sole discretion, and (c) approval by Bus Company in its sole discretion. Subject to the foregoing, all reservations are final and all payments and deposits are non-refundable.
III. Cancellations and Refunds

B. Responsibility for Fees
Clients agree to pay all applicable cancellation fees. These fees are final and non-transferable, and may not be applied to future or alternative services.
C. How to Cancel
All cancellation requests must be submitted in writing to CHARTER BUSLINE CORP at: ops@chartersbusline.com
D. Cancellation by CHARTER BUSLINE CORP
A reservation may be canceled by CHARTER BUSLINE CORP in its discretion at any time prior to the Date of Service. In the event of such cancellation by CHARTER BUSLINE CORP, all amounts paid by Client shall be fully refunded by CHARTER BUSLINE CORP, and without any further liability whatsoever on the part of CHARTER BUSLINE CORP.
E. Service Failures and Refunds
If the charter transportation service provided by Bus Company breaks down, or if Bus Company otherwise breaches its obligations to Client, then no amount paid to CHARTER BUSLINE CORP shall be refunded. Instead, the sole recourse of Client shall be against Bus Company. In such circumstances, CHARTER BUSLINE CORP shall provide reasonable assistance to Client in pursuit of a claim against Bus Company.
F. Client No-Show Policy
If the Bus Company arrives at the scheduled pick-up location prepared to provide the reserved charter transportation service, but the Client's chartered party is not at that location, and CHARTER BUSLINE CORP is unable to locate or contact the Client's contact person within 60 minutes of the scheduled pick-up time, by the means provided in the reservation, then the reservation will be deemed to have been canceled by Client.
In such circumstances, Client shall be liable for a cancellation fee and charge equal to the entire Reservation Rate, regardless if paid or not at the time of Client cancellation.
G. Invalid Location Policy
If Client provides CHARTER BUSLINE CORP with an inaccurate location, or a location inaccessible to the motor vehicle used by Bus Company, because of impeding obstacles (including other vehicles, snow, ice, roadway conditions, vehicle clearance issues, weight limits, or turning radius limits), and if Client and Bus Company are unable to agree on a mutually-acceptable resolution, then the reservation will be deemed to have been canceled by Client.
Client shall be liable for a cancellation fee and charge equal to the entire Reservation Rate, regardless if paid or not.
IV. Additional Charges
Additional charges may apply depending on the itinerary, operational requirements, or specific requests made by the Chartering Party.
Payment of Additional Charges:
- Credit/Debit Card: The Chartering Party will receive an email notification of any additional charges. These charges will be automatically processed 1 day after notification.
- Check/Money Order/Wire Transfer: An invoice will be issued. The Chartering Party must remit payment for all such additional charges within 7 days of the invoice date.
1. Overtime and Additional Mileage
All quoted fees are calculated based on the scheduled time and mileage. Any increase in service duration or mileage will result in additional charges. Such costs will be billed separately under the Service Contract.
2. Flight Delays
The Chartering Party is responsible for informing Active Trip Support of any flight delays. Delays may result in additional charges.
For delays exceeding 30 minutes, a change of driver and/or vehicle may be required. The Company will make reasonable efforts to notify the Chartering Party of such changes.
3. Alcohol Fee / Deposit
If the Chartering Party requests alcohol consumption during transportation, an additional alcohol fee and/or deposit may be required.
- • Alcohol-related fees are non-refundable
- • Fees will be communicated in writing prior to travel
- • Deposits may be refunded after travel depending on vehicle condition
- • The Chartering Party is fully responsible for compliance with all applicable laws related to alcohol consumption
4. Tolls, Fees, and Surcharges
The Chartering Party is responsible for all tolls, highway fees, vehicle entry fees, parking fees, and other similar expenses incurred during transportation. These amounts will be billed separately under the Service Contract. While the Company will attempt to estimate and include such charges in advance, any omitted or unforeseen fees shall remain the Chartering Party's responsibility.
5. Airport Fees
Airport transit fees vary based on airport regulations, vehicle size, and transit time. A 15% luggage handling charge may apply to itineraries involving airport transfers.
6. Damage and Cleaning
The Chartering Party is responsible for all Passengers and any items ("Transported Items") brought on board. The Chartering Party will be liable for:
- • Any damage to the equipment caused by Passengers or Transported Items
- • Any required cleaning beyond normal usage
- • Minimum charge of $250 for excessive cleaning
The Company will bill such costs separately, and the Chartering Party agrees to pay these charges upon invoice.
7. Late Payment Fee
Payments not made on time will accrue interest at 1.5% per month or the maximum rate permitted by law, whichever is lower. In the event of any collection action due to non-payment, the Company is entitled to recover reasonable costs and attorneys' fees.
V. Rates and Payment
(a) Rate Changes
All published rates are subject to change without prior notice. Rates may be adjusted at any time before the Chartering Party receives written confirmation from Charter Bus Line Corp.
(b) Estimate and Additional Charges
The rate quoted for the Charter Services is an estimate based on the information provided at the time of booking. Additional charges may apply, including but not limited to:
- • Taxes and credit card processing fees
- • Damage to equipment or injury to the driver
- • Overtime (services extending beyond the scheduled reservation time)
- • Additional mileage beyond the original itinerary
- • Excessive Cleaning (minimum charge of $250)
The fee for Excessive Cleaning will be determined at Charter Bus Line Corp's sole discretion.
(c) Price/Service Adjustments
Charter Bus Line Corp reserves the right to notify the Chartering Party—via phone, text, email, or other reasonable means—of any changes to previously quoted or confirmed pricing or services at any time prior to the scheduled trip.
Such adjustments may be required due to: (i) itinerary changes or additional services requested by the Chartering Party; and/or (ii) changes in the assigned equipment, service provider, or operational requirements.
The Chartering Party acknowledges that all Price/Service Adjustments constitute legally binding modifications and that Charter Bus Line Corp is not obligated to honor previously quoted prices, equipment assignments, or services following such adjustments.
(d) Reimbursement of Expenses
The Chartering Party shall reimburse Charter Bus Line Corp for all additional expenses incurred—whether by the Company or the Service Provider—in connection with the Charter Services. These may include driver lodging, tolls, parking fees, additional stops, and any other costs referenced in Section 4(b). Charter Bus Line Corp assumes no liability for such Customer Expenses.
(e) Authorization to Charge
The Chartering Party authorizes Charter Bus Line Corp to initiate charges to the checking/savings account or credit card provided at the time of reservation, including adjustments for errors or any additional charges. This authorization remains valid until cancelled in writing, with at least 30 days' notice required prior to the desired cancellation date.
- • If a large transaction is declined, Charter Bus Line Corp may attempt multiple smaller transactions
- • If any credit or debit card transaction is declined, Charter Bus Line Corp may revoke card payment ability
- • All remaining payments must then be made by check or wire transfer; failure results in reservation cancellation
- • For total payments exceeding $5,000, payment by check or wire transfer may be required
(f) No-Dispute Policy
The Chartering Party agrees not to dispute any fees or charges made in accordance with this Agreement, including cancellation fees, warranty disclaimers, dispute resolution provisions, waived conditions, or any other obligations expressly waived ("Improperly Disputed Amounts").
If any such fees or charges are disputed, Charter Bus Line Corp may recover:
- • Bank or processor fees associated with the dispute
- • Attorneys' fees and legal or arbitration costs
- • Any additional damages arising from the Improperly Disputed Amounts
(g) Fraudulent Information Policy
Providing a reservation using a false name or invalid payment information with intent to defraud is illegal. Internet browser data may be used by law enforcement to identify fraudulent users, who may be prosecuted to the fullest extent of the law.
If the Chartering Party knowingly submits false information—including another person's name, email, phone number, or address, or any fabricated information—the Chartering Party agrees to fully indemnify and be liable to Charter Bus Line Corp and its affiliated companies for $10,000 per company involved, plus attorneys' fees and legal or arbitration costs.
VI. Charter Transportation Services
(a) CHARTER BUSLINE CORP as Broker Only
The Client acknowledges and agrees that CHARTER BUSLINE CORP is not a motor carrier and does not provide transportation services of any kind. CHARTER BUSLINE CORP functions solely as a marketplace through which clients may reserve and pay for transportation services provided by independent, third-party motor carriers, each of which is solely responsible for performing the charter transportation services.
CHARTER BUSLINE CORP uses commercially reasonable efforts to ensure that such motor carriers are properly insured, registered with the Federal Motor Carrier Safety Administration, and otherwise qualified to perform passenger charter services. However, CHARTER BUSLINE CORP assumes no responsibility and shall have no liability for any acts, errors, omissions, delays, service quality issues, regulatory violations, or performance failures of any motor carrier or its drivers.
(b) Agent Authority
The Client authorizes CHARTER BUSLINE CORP to act as the Client's agent solely for the purpose of establishing a binding charter transportation agreement between the Client and the selected motor carrier ("Bus Company"). Such agreements may be written, oral, or in any other form.
Any charter transportation contract executed by CHARTER BUSLINE CORP as agent shall be fully binding on the Client, whether it identifies the Client, "CHARTER BUSLINE CORP as agent," or CHARTER BUSLINE CORP alone. Under no circumstance shall CHARTER BUSLINE CORP be deemed a party to such charter transportation contracts, nor shall CHARTER BUSLINE CORP have any rights, obligations, or liabilities under them.
(c) Vehicle Images and Descriptions
Images and descriptions of buses or other vehicles shown on the CHARTER BUSLINE CORP website or its affiliated websites are provided for general reference only and may differ from the actual vehicles supplied by the Bus Company.
(d) No Guaranteed Specifications
Unless expressly confirmed in writing by CHARTER BUSLINE CORP, the Company does not guarantee:
- • Any specific make, model, year, or appearance of a bus
- • Functioning of HVAC systems, air-conditioning, plumbing, or on-board lavatories
- • Availability or operability of amenities (Wi-Fi, power outlets, USB ports, DVD/television systems, wheelchair lifts, etc.)
- • Driver behavior or communication practices
- • Prevention of delays due to weather, mechanical issues, tire failures, accidents, or other unforeseen events
The Client expressly waives any claims, refunds, or rights to terminate this Agreement relating to any of the above conditions.
At its sole discretion, CHARTER BUSLINE CORP may provide limited assistance to help the Client resolve issues directly with the Bus Company, but has no obligation to do so.
(e) Scheduling and Delays
The Client acknowledges that the Bus Company may not arrive exactly at the scheduled pickup time and may deliver passengers later than planned. The Client waives all claims, refunds, or termination rights related to delays, road conditions, or travel speeds.
The Bus Company retains exclusive discretion over the route, speed, and operational decisions necessary to ensure safety and compliance.
(f) Special Certifications
Unless specifically guaranteed in a written confirmation, CHARTER BUSLINE CORP is not required to provide buses or drivers that are SPAB-certified, school-certified, DOD-certified, or holding any special permits or certifications.
If the Client cancels due to such requirements not being met, the cancellation shall be treated as a Client-initiated cancellation (subject to applicable cancellation fees).
(g) Reserved Seats
The Client agrees that a reasonable number of seats may be reserved for additional drivers, relief drivers, or necessary support staff required by the Bus Company.
(h) Lost or Damaged Items
CHARTER BUSLINE CORP is not responsible for any lost, stolen, or damaged personal items. The Company reserves the right to charge a fee for locating, storing, or returning items found on a vehicle.
(i) Trip Termination by Bus Company
The Bus Company may, at its sole discretion, terminate a trip immediately if it believes that the Client or any passenger:
- • Creates a safety risk or disturbance
- • Possesses illegal substances or materials
- • Smokes or consumes alcohol in violation of Bus Company rules
The Bus Company alone—not CHARTER BUSLINE CORP—is responsible for such decisions.
(j) Driving Regulations Compliance
The Bus Company may also immediately terminate a trip if the Client or any passenger attempts to pressure, request, or compel the driver to exceed legally permitted driving hours or violate federal or state safety regulations.
Such decisions are made solely by the Bus Company, and CHARTER BUSLINE CORP bears no liability for their exercise of discretion.
VII. Warranties, Disclaimers, and Limitations of Liability
(a) Warranties
Each party represents and warrants to the other that:
- • It has the full authority and legal capacity to enter into this Agreement and fulfill its obligations
- • This Agreement is a valid, binding, and enforceable obligation against such party in accordance with its terms
(b) Disclaimer of Warranties
SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.
To the fullest extent permitted by law, CHARTER BUSLINE CORP shall not be liable for indirect, incidental, special, or consequential damages. Total liability shall not exceed the amount paid for services or $5,000, whichever is greater.
VIII. Indemnification
You agree to indemnify and hold harmless Charter Busline Corp and its affiliates from any claims arising from your breach of this Agreement, violation of laws, or acts/omissions by you or your passengers. This includes all associated legal fees, damages, and costs.
IX. Governing Law and Dispute Resolution
This Agreement is governed by Georgia law. Disputes shall be resolved through binding arbitration under AAA rules in Fulton County, Georgia.
- • You waive the right to jury trial
- • You waive class action participation
- • Claims must be filed within one (1) year
X. Anti-Chargeback Policy
ALL PAYMENTS ARE FINAL AND NON-REFUNDABLE.
Filing improper chargebacks results in:
- • $500 administrative fee
- • Reimbursement of disputed amount
- • Bank penalties and legal fees
- • $10,000 penalty for fraudulent information
Once a vendor is assigned, payments become 100% non-cancelable and non-refundable.
XI. Important Notices
- •Pickup times are approximate (±30 minutes)
- •Vehicle substitutions may occur without notice
- •Company not liable for traffic, weather, or road delays
- •Active phone contact required at all times during trip
- •Lost items: storage/return fees may apply
- •Trip may be terminated for safety violations

By booking our services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. These terms constitute the entire agreement between you and Charter Busline Corp regarding charter transportation services.
